1. Acceptance of Terms

Welcome to AskMeIdentity. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Modern Identity Private Limited (Hyderabad, India) and J&S Infoline INC (Wilmington, Delaware, USA), collectively operating as AskMeIdentity ("Company," "we," "us," or "our").

By accessing our website at askmeidentity.com, engaging our consulting services, or using any of our products or resources, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our website or services.

We reserve the right to modify these Terms at any time. Continued use of our website or services after any modifications constitutes your acceptance of the revised Terms.

2. Description of Services

AskMeIdentity provides Identity and Access Management (IAM) consulting services, including but not limited to:

• IAM strategy development and roadmap planning
• Implementation and integration of identity platforms (Okta, Auth0, SailPoint, CyberArk, Ping Identity, ForgeRock, and others)
• Single Sign-On (SSO) and Multi-Factor Authentication (MFA) deployment
• Identity Governance and Administration (IGA) solutions
• Privileged Access Management (PAM) implementation
• Customer Identity and Access Management (CIAM) solutions
• IAM security assessments, audits, and compliance consulting
• IAM training and workforce development programs
• Ongoing managed IAM services and support

The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate Statement of Work (SOW) or service agreement executed between you and AskMeIdentity.

3. Use of Website

You agree to use our website only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the website in any way that violates any applicable local, state, national, or international law or regulation
• Transmit or procure the sending of any advertising or promotional material without our prior written consent, including spam, junk mail, chain letters, or similar solicitations
• Impersonate or attempt to impersonate AskMeIdentity, an AskMeIdentity employee, another user, or any other person or entity
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the website, or that may harm AskMeIdentity or users of the website
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the website, the server on which the website is stored, or any server, computer, or database connected to the website
• Use any robot, spider, or other automatic device, process, or means to access the website for any purpose, including monitoring or copying any of the material on the website

4. Client Obligations

When engaging our consulting services, you agree to:

• Provide accurate, complete, and timely information necessary for us to deliver the agreed-upon services
• Ensure that designated personnel are available for meetings, reviews, and approvals as reasonably required
• Grant appropriate access to systems, environments, and resources as needed for service delivery
• Comply with all applicable laws and regulations related to the services being provided
• Make timely payments in accordance with the terms of any executed service agreement or SOW
• Maintain the confidentiality of any proprietary methodologies, tools, or documentation shared by AskMeIdentity

5. Intellectual Property

5.1 AskMeIdentity Property

All content on this website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, software, blog articles, case studies, whitepapers, and training materials, is the property of AskMeIdentity or its content suppliers and is protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws.

Our proprietary methodologies, frameworks, tools, templates, and processes developed independently by AskMeIdentity remain our exclusive property regardless of any client engagement. Nothing in these Terms or any service agreement shall transfer ownership of such pre-existing intellectual property to any client.

5.2 Client Deliverables

Unless otherwise specified in a separate written agreement or SOW, deliverables created specifically for a client during an engagement shall become the property of the client upon full payment of all associated fees. AskMeIdentity retains the right to use generalized knowledge, skills, experience, and techniques acquired during any engagement.

5.3 Restrictions

You may not, without our prior written consent:

• Reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any content from our website
• Use our trademarks, service marks, trade names, or logos in any manner that creates confusion or implies endorsement or sponsorship
• Reverse engineer, decompile, or disassemble any software or tools provided by AskMeIdentity
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices

6. Confidentiality

Both parties acknowledge that during the course of any engagement, they may have access to confidential and proprietary information of the other party. Each party agrees to:

• Hold all confidential information in strict confidence
• Not disclose confidential information to any third party without prior written consent
• Use confidential information solely for the purpose of fulfilling obligations under the engagement
• Take reasonable measures to protect the confidentiality of the information, no less than the measures taken to protect their own confidential information

These confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully received from a third party without restriction, or required to be disclosed by law or regulatory authority.

7. Payment Terms

Payment terms, fees, and billing schedules will be specified in the applicable SOW or service agreement. Unless otherwise agreed in writing:

• Invoices are due within thirty (30) days of the invoice date
• Late payments may incur a service charge of 1.5% per month or the maximum rate permitted by applicable law, whichever is less
• All fees are exclusive of applicable taxes, which shall be the responsibility of the client
• AskMeIdentity reserves the right to suspend services if payments are overdue by more than fifteen (15) days

8. Warranties and Disclaimers

8.1 Service Warranty

AskMeIdentity warrants that all consulting services will be performed in a professional and workmanlike manner, consistent with generally accepted industry standards. If any services fail to conform to this warranty, AskMeIdentity will, at its option, re-perform the non-conforming services at no additional charge, provided you notify us within thirty (30) days of delivery.

8.2 Website Disclaimer

THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ASKMEIDENTITY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the website will be uninterrupted, error-free, secure, or free of viruses or other harmful components. The information provided on this website, including blog articles and resources, is for general informational purposes only and should not be considered as professional advice for your specific situation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASKMEIDENTITY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use our website or services
• Any unauthorized access to or alteration of your transmissions or data
• Any statements or conduct of any third party on the website
• Any errors, omissions, or inaccuracies in the content
• Any other matter relating to our website or services

IN NO EVENT SHALL ASKMEIDENTITY'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO ASKMEIDENTITY DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE THOUSAND U.S. DOLLARS ($1,000), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless AskMeIdentity and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the website or services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content you submit or transmit through our website

11. Termination

We may terminate or suspend your access to the website immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the website will cease immediately.

For consulting engagements, termination provisions will be governed by the applicable SOW or service agreement. In the absence of specific termination terms, either party may terminate an engagement upon thirty (30) days' written notice to the other party.

12. Governing Law and Dispute Resolution

12.1 For U.S. Clients

For clients engaging with J&S Infoline INC, these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.

12.2 For India-Based Clients

For clients engaging with Modern Identity Private Limited, these Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

12.3 Dispute Resolution

Before initiating any legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, either party may pursue resolution through arbitration or litigation as permitted by the applicable governing law.

13. Third-Party Links

Our website may contain links to third-party websites, services, or resources that are not owned or controlled by AskMeIdentity. We do not endorse and are not responsible for the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that AskMeIdentity shall not be liable for any damage or loss caused by or in connection with the use of any third-party content, goods, or services.

14. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to natural disasters, acts of government, war, terrorism, pandemics, power failures, internet disruptions, or labor disputes. The affected party will use reasonable efforts to mitigate the impact of such events and resume performance as soon as practicable.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

16. Entire Agreement

These Terms, together with any applicable SOW, service agreement, or other written agreement executed between you and AskMeIdentity, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior agreements, representations, and understandings, whether written or oral. In the event of any conflict between these Terms and a signed service agreement or SOW, the terms of the signed agreement shall prevail.
